TERMS AND CONDITIONS OF SALE TO<\/strong> CONSUMERS<\/strong><\/p>\n\n\n\n

1 – PURPOSE AND SCOPE<\/p>\n\n\n\n

These terms and conditions of sale automatically apply to all and any sales of furniture and objects by the seller, unless otherwise expressly agreed by the latter.<\/p>\n\n\n\n

The sale is deemed made on the date the order is accepted by OZAN gallery and the deposit is paid or at the time of an immediate purchase at the OZAN gallery.<\/p>\n\n\n\n

Any order or immediate purchase implies the unconditional acceptance of these terms and conditions of sale that shall prevail over all other terms, except for any overriding terms that have been expressly accepted in writing by OZAN gallery.<\/p>\n\n\n\n

The customer represents that it has read and accepted these terms and conditions of sale before its immediate purchase or before placing the order.<\/p>\n\n\n\n

2 \u2014 PRE-CONTRACT INFORMATION<\/p>\n\n\n\n

For orders of standard or custom objects or furniture, these terms and conditions of sales shall be communicated in advance to the buyer which acknowledges having received them.<\/p>\n\n\n\n

The buyer is provided with the following information, in a clear and understandable manner:<\/p>\n\n\n\n

– the main features of the furniture or object;<\/p>\n\n\n\n

– the price of the product;<\/p>\n\n\n\n

– in the event of deferred delivery, the date or lead-time to which OZAN galley commits;<\/p>\n\n\n\n

– the information concerning the seller’s identity, and its postal, phone and electronic contract details.<\/p>\n\n\n\n

3 \u2014 ORDERS<\/p>\n\n\n\n

3-1 Definition<\/strong><\/p>\n\n\n\n

Order means any purchase order for products available on the website http:\/www.galerieozan.com\/<\/em>, accepted by OZAN galley and made together with the payment of the deposit as set out under 3-2.<\/p>\n\n\n\n

For an order to be valid, the customer must return the estimate marked “Valid for agreement”.<\/p>\n\n\n\n

The customer’s acceptance of the estimate carries its full and unconditional acceptance of these terms and conditions of sale and the obligation to pay for the products ordered.<\/p>\n\n\n\n

It is firm and irrevocable. The payment of a deposit is the starting point of the production lead-time.<\/p>\n\n\n\n

3-2 Deposit<\/strong><\/p>\n\n\n\n

In order to place an order, the customer must first pay a non-refundable deposit corresponding to 50% of the order amount.<\/p>\n\n\n\n

This deposit shall be deducted from the total price as an instalment.<\/p>\n\n\n\n

3-3 Consideration<\/strong><\/p>\n\n\n\n

In return, in the event that the seller decides not to perform the contract, it shall be obliged to pay the customer compensation in an amount equal to twice the amount of the deposit paid by the customer.<\/p>\n\n\n\n

3-4 Special terms applicable to custom<\/strong> orders<\/strong><\/p>\n\n\n\n

In the event of a custom order, the seller reserves the right to make minor cosmetic changes compared to the standard products, which the customer expressly accepts.<\/p>\n\n\n\n

The customer shall be informed of any such changes. They shall not entail any change in the price or be sufficient cause to cancel the order.<\/p>\n\n\n\n

4 \u2014 PROVISIONS SPECIFIC TO LIGHTING FIXTURES<\/p>\n\n\n\n

The customer is informed that the lighting fixtures sold by OZAN galley are manufactured in accordance with French electrical standards. Accordingly, such lighting fixtures might be not usable in certain countries without a prior adjustment to the electrical standards of such countries.The customer shall be responsible for checking whether the electrical system of the lighting fixture is compatible with the standards of the country in which it will be used and, if not, it shall be responsible for rendering it compatible with the standards of such country.<\/p>\n\n\n\n

OZAN gallery may not, under any circumstances, be held liable for any malfunction or failure of the lighting fixture due to a lack of compatibility with the electrical standards of the country in which the customer wishes to use it. The same applies for any incompatibility with any foreign electrical accessory (bulbs, wires, etc.).<\/p>\n\n\n\n

5 \u2014 ESTIMATES – PRICES<\/p>\n\n\n\n

5-1 Estimates<\/strong><\/p>\n\n\n\n

Estimates are valid for 3 months. They stipulate the name of the model and its features, and whether the order is standard or custom.<\/p>\n\n\n\n

5-2 Prices<\/strong><\/p>\n\n\n\n

Prices are firm and final. They shall be provided on request.<\/p>\n\n\n\n

They are stated in Euros and exclusive of tax, customs duties and delivery, packing and unpacking costs that are payable by the customer.<\/p>\n\n\n\n

In the event of a sale to which VAT applies, it shall be indicated on the estimate and the invoice.<\/p>\n\n\n\n

6 \u2014 CHANGE\/CANCELLATION OF THE SALE<\/p>\n\n\n\n

6-1 Change<\/strong><\/p>\n\n\n\n

Any change requires the express, prior, written consent of the seller. The seller shall only accept it if the request is made as soon as possible and does not amount to a cancellation.<\/p>\n\n\n\n

The customer is informed that any change to an order is likely to defer the performance and\/or supply lead-times and to result in extra costs.<\/p>\n\n\n\n

6-2 Cancellation<\/strong><\/p>\n\n\n\n

If the customer cancels the order, if the seller so expressly accepts, for any reasons other than a force majeure event, compensation shall accrue to the seller by way of damages to make up for the los sustained:<\/p>\n\n\n\n

-in case of cancellation within eight days of the order: \u20ac0,<\/p>\n\n\n\n

-in case of cancellation from nine to thirty days following the order: 20% of the sale price,<\/p>\n\n\n\n

-in case of cancellation more than thirty days following the order: the full sale price is payable.<\/p>\n\n\n\n

7 \u2014 RETENTION OF TITLE<\/p>\n\n\n\n

The products sold shall remain the property of the seller as long as the price, costs and any interest have not been paid in full.<\/p>\n\n\n\n

8 \u2014 DELIVERY, RECEIPT, LEAD-TIMES, RISK<\/p>\n\n\n\n

TRANSFER AND TRANSPORTATION<\/p>\n\n\n\n

8-1 Delivery<\/strong><\/p>\n\n\n\n

The customer shall collect the purchased product or cause it to be collected by its carrier at the workshop address indicated on the estimate or at the OZAN gallery or place of storage.<\/p>\n\n\n\n

8-2 Delivery lead-times<\/strong><\/p>\n\n\n\n

For products made, the production of the standard or custom order gives rise to a lead-time that is indicated on the estimate. The production lead-time shall only commence upon acceptance of the estimate and receipt of the deposit payable when placing an order.<\/p>\n\n\n\n

The production lead-time is given for information only. It depends in particular on the availability of the specific materials used to manufacture the furniture and objects ordered.<\/p>\n\n\n\n

Delays in production and delivery shall not give rise to any penalty or compensation, and shall not be sufficient cause for cancelling the order.<\/p>\n\n\n\n

Any late production compared to the indicative production lead-time initially planned shall not be sufficient cause for cancelling the order placed by the customer and recorded by the seller.<\/p>\n\n\n\n

8-3 Receipt<\/strong><\/p>\n\n\n\n

In the case of furniture or objects made, the customer or its appointed carrier shall check, before packing and collecting the goods, that the product is free from any breakage, impact, crack or damage of any nature, and shall immediately report any such defects that are detected.<\/p>\n\n\n\n

8-4 Risk transfer<\/strong><\/p>\n\n\n\n

The transfer of title shall only occur after receipt of the full price, irrespective of the date of delivery.<\/p>\n\n\n\n

The risks of product destruction and damage shall be transferred upon delivery and receipt of the products by the buyer or its carrier.<\/p>\n\n\n\n

8-5 Packing\/unpacking<\/strong><\/p>\n\n\n\n

The packing and unpacking of the products sold are performed and are payable by the customer or the carrier appointed by it.<\/p>\n\n\n\n

8-6 Transportation<\/strong><\/p>\n\n\n\n

The customer shall assume the risks and pay the costs of transportation of the objects sold as of their collection from the workshop or the OZAN gallery or place of storage.<\/p>\n\n\n\n

In the event of any damage to goods in transit or any missing goods, the customer shall make all the necessary reservations to the carrier.<\/p>\n\n\n\n

Furthermore, in accordance with Article L 133-3 of the French Commercial Code, any product for which no reservation has been notified to the carrier by registered letter with acknowledgement of receipt within 3 days of receipt shall be deemed to be intact and accepted by the customer.<\/p>\n\n\n\n

9 \u2014 INVOICES – PAYMENT<\/p>\n\n\n\n

9-1 Terms of payment<\/strong><\/p>\n\n\n\n

Invoices are payable by bank transfer. They are given on the day of delivery at the same time as the object.<\/p>\n\n\n\n

9-2 Payment of the balance<\/strong><\/p>\n\n\n\n

The amount owed to the seller must be paid at the latest by the day on which the products are supplied. Payments shall only be considered final after effective collection by the seller of the amounts due.<\/p>\n\n\n\n

9-3 Storage<\/strong><\/p>\n\n\n\n

If, after being informed that the objects purchased are available, the customer fails to take delivery thereof, such objects shall be stored free of charge for 15 days.<\/p>\n\n\n\n

Thereafter, storage costs shall be charged. The amount of these costs is a lump-sum price of \u20ac10, exclusive of tax, per calendar day and per order.<\/p>\n\n\n\n

These costs must be paid at the latest by the collection date of the products.<\/p>\n\n\n\n

10 \u2014 WARRANTIES<\/p>\n\n\n\n

10-1 General provisions <\/strong><\/p>\n\n\n\n

OZAN galley warrants the conformity of the goods to the contract, such that the buyer may make a claim under the legal warranty of conformity provided for by Articles L217-4 et seq. of the French Consumer Code or the warranty against defects of objects sold within the meaning of Article 1641 of the French Civil Code.<\/p>\n\n\n\n

10-2 Legal warranty of conformity<\/strong><\/p>\n\n\n\n

The buyer benefits from the legal warranty of conformity. Within this framework, it is stipulated that:<\/p>\n\n\n\n

– The buyer has 2 years from the delivery of the product to bring an action;<\/p>\n\n\n\n

– The buyer may choose between the repair or the replacement of the product, subject to the cost conditions of Article L211-9 of the Consumer Code;<\/p>\n\n\n\n

– They buyer is not required to furnish proof of the existence of a lack of conformity of the product during the 24 months following its delivery, this period being 6 months for second-hand goods.<\/p>\n\n\n\n

In addition, the buyer is reminded that it may decide to implement the warranty against latent defects of the object sold within the meaning of Article 1641 of the Civil Code. In this case, it may choose between the rescission of the sale or a reduction in the price pursuant to Article 1644 of the Civil Code. documents in any manner that could infringe the industrial or intellectual property rights of the manufacturer and of OZAN gallery and undertakes not to disclose them to any third party.<\/p>\n\n\n\n

11 \u2014INTELLECTUAL PROPERTY<\/p>\n\n\n\n

All technical documents, products, drawings and photographs given to the buyer shall remain the exclusive property of the seller who remains the sole holder of the intellectual property rights to these documents and they must be returned to it on request. The buyer undertakes not to use these<\/p>\n\n\n\n

12 \u2014 GOVERNING LAW – JURISDICTION<\/p>\n\n\n\n

12-1 Governing law<\/strong><\/p>\n\n\n\n

All sales made by OZAN gallery are governed by the laws of France, and the buyer so expressly accepts.<\/p>\n\n\n\n

12-2 Jurisdiction<\/strong><\/p>\n\n\n\n

All disputes arising out of or in connection with the sales entered into in accordance with these terms and conditions of sale, for any reason, and that are not solved out of court by the seller and the buyer, shall be brought before the French courts designated by French law.<\/p>\n\n\n\n

13 \u2014 LANGUAGE OF THE CONTRACT<\/p>\n\n\n\n

Unless otherwise expressly agreed by the seller, the reference language of the contract is French.<\/p>\n\n\n\n

If these terms and conditions of sale are translated into a foreign language, only the French text shall be deemed authentic in the event of a dispute.<\/p>\n\n\n\n

14 \u2014 MEDIATION<\/p>\n\n\n\n

The buyer may have recourse to conventional mediation, particularly by contacting the Commission de la m\u00e9diation de<\/em> la consommation<\/em> or existing sectional mediation bodies, or to any other alternative dispute resolution method (conciliation, for example) in the event of a dispute.<\/p>\n\n\n\n

15 \u2014 MISCELLANEOUS<\/p>\n\n\n\n

If any one of the provisions of these terms and conditions of sale were to be revoked or deemed not written, the other provisions would remain in full force and effect.<\/p>\n","protected":false},"excerpt":{"rendered":"
